Commercial landlords routinely lease premises in shopping malls, plazas and standalone buildings to franchised businesses. Those businesses represent some of North America’s best known brands. A commercial lease for a franchised business has at least 3 and often 4, 5 or 6 interested parties – the landlord, the franchisor, the franchisor’s leasing affiliate, the franchisee, the franchisee’s guarantors/indemnifiers and the franchisee’s lender. Each has a distinct interest in the leasing arrangement and must consider its contracting strategy accordingly.

There are benefits to a franchisor electing to negotiate and enter into a head lease directly with the landlord and then assigning or subletting the lease to a franchisee. However, certain clauses in the lease agreement are often more important to the franchisee than the franchisor.

As Ontario is a “loser pays” jurisdiction, the fact that an “unsuccessful” litigant can be responsible for a portion of the costs of the “successful” party is a further consideration. Ontario’s laws, however, provide a mechanism which if properly utilized can shift some of the burden of the costs of litigation onto the other party.
